SUPPLIER CODE OF CONDUCT

Purpose and Scope 

Fonua is fundamentally committed to respect fair ethical and business practices. The purpose of this Code of Conduct is to clearly set out our company’s business and ethical values and to ensure that our Suppliers are aligned with these standards. We expect our Suppliers to comply with the standards detailed in this Code of Conduct and to adhere to all necessary applicable legislation, regulations and good practices in respect of our industry. The Supplier shall ensure that their suppliers and sub-contractors also comply with the requirements set in this Code of Conduct. This code supplements any terms of contracts entered into with our Suppliers.

Supplier Requirements

Anti-Bribery

The Supplier shall comply with all applicable laws, and regulations relating to the prevention of bribery and corruption. The Supplier shall not accept, offer, promise, pay, permit or authorise:

  • bribes, facilitation payments, kickbacks or illegal political contributions;
  • money, goods, services, entertainment, employment, contracts or other things of value, in order to obtain or retain improper advantage;
  • or any other unlawful or improper payments or benefits including money laundering or terrorist financing.

Freedom of Association

The Supplier shall respect, and shall not interfere with, the right of workers to decide whether to lawfully associate with groups of their choice, including the right to form or join trade unions and to engage in collective bargaining where these exist.

Working Hours

The Supplier must ensure that workers’ hours comply with national laws, regulations and industry standards and that overtime is not compulsory. The Supplier shall also ensure that any overtime carried out shall be fully compensated in accordance with applicable laws and regulations.

Wages

The Supplier shall ensure that workers have written contracts and must compensate all workers with wages and benefits that meet that minimum wage and benefits established by applicable law, collective agreements and industry standards.

Labour

The Supplier must ensure that no forced, compulsory, bonded, trafficked, indentured or involuntary labour is employed, and that workers are free to leave their employment on reasonable notice. The supplier must also ensure that child labour is not permitted and that all workers are of at least the minimum legal working age under applicable laws, regulations and international conventions.

Health and Safety

The Supplier shall provide a safe, healthy, and sanitary working environment and comply with applicable health and safety laws, regulations and any other relevant laws where it operates. This includes, but is not limited to, implementing general and relevant industry-specific procedures and safeguards to prevent workplace hazards and work-related accidents and injuries. Where such hazards cannot be adequately prevented or controlled, the Supplier shall provide workers with appropriate personal protective equipment to protect against hazards typically encountered in that scope of work.

Data Protection

The Supplier shall comply with all data protection laws and requirements when processing any personal data on Fonua’s behalf.

The Supplier shall have in place appropriate measures to:

  • protect the integrity and confidentiality of information (including information belonging to or supplied by Fonua held on its systems (which include physical and online or electronic systems); and
  • ensure that there is no unauthorised access of the information by third parties, including its Representatives.

Equal Opportunities

Fonua is an equal opportunities employer and Suppliers shall not discriminate in hiring, compensation, training, advancement or promotion, termination, retirement or any employment practice based on race, caste, colour, national origin, gender, gender identity, sexual orientation, religion, age, marital or pregnancy status, disability, union membership or political affiliation or any other characteristic other than the worker’s ability to perform the job subject to any accommodations required or permitted by law.

Environmental

The Supplier shall ensure that:

  1. its operations comply with all applicable environmental laws, including laws and international treaties relating to (but not limited to) climate change, waste disposal, emissions, discharges and the handling of hazardous and toxic materials;
  2. the goods it manufactures (including the inputs and components that it incorporates into its goods) comply with all applicable environmental laws and treaties; and
  3. it will only use packaging materials that comply with all applicable environmental laws and treaties.

Compliance

We will work collaboratively with our suppliers in order to ensure that the expectations in this code of conduct are achieved both by us and our suppliers. We expect our suppliers to do the same. We expect suppliers to carry out appropriate due diligence to show that they are meeting these obligations, both in regard to their own business operations and their supply chains, and to take appropriate steps to remedy any failures. We reserve the right to monitor supplier’s compliance with this code and we expect suppliers to be open with us about their compliance. We will work collaboratively with suppliers to assist with compliance.

Ethics

Fónua recognise that upholding ethical standards is not only a moral imperative but also a fundamental aspect of sustainable and responsible business practices. In this brief, we’ve outlined the key principles and expectations regarding ethics within the Fónua supply chain.

Key Principles:

  1. Integrity and Honesty: Suppliers are expected to conduct business with integrity and honesty in all interactions, transactions, and communications. This includes accurately representing products, services, and capabilities.
  2. Legal Compliance: Adherence to all applicable laws and regulations is essential. Suppliers must ensure compliance with local, national, and international laws, covering areas such as labour, environmental protection, anti-corruption, and human rights.
  3. Fair Competition: Fair and open competition benefits all stakeholders. Suppliers must avoid engaging in anti-competitive practices such as price-fixing, bid-rigging, or market manipulation.
  4. Conflicts of Interest: Suppliers should identify and manage conflicts of interest effectively. Any personal, financial, or other interests that may conflict with the supplier’s obligations should be disclosed and managed appropriately.
  5. Transparency: Transparency builds trust and fosters accountability. Suppliers should be transparent in their business practices, including financial transactions, supply chain operations, and governance structures.

Expectations and Responsibilities:

  1. Supplier Commitment: Suppliers are expected to commit to upholding ethical standards and integrating ethical considerations into their business operations. This commitment should be reflected in policies, procedures, and decision-making processes.
  2. Continuous Improvement: Ethical practices require ongoing commitment to improvement. Suppliers should actively assess their performance, identify areas for enhancement, and implement measures to address ethical risks and challenges.
  3. Collaboration and Engagement: Collaboration is essential for promoting ethical behaviour throughout the supply chain. Suppliers are encouraged to engage with stakeholders, including customers, employees, communities, and industry peers, to share best practices and drive positive change.
  4. Reporting and Remediation: Suppliers should establish mechanisms for reporting ethical concerns and grievances, ensuring that employees and other stakeholders have avenues to raise issues without fear of retaliation. Prompt and effective remediation of identified problems is critical for maintaining trust and integrity.
